1. Scope of Application

This Overseas Client User Agreement (the "Agreement") applies to the Web and App products of MYUCAR that are publicly presented to overseas users, including services such as public browsing, vehicle search, viewing of vehicle details, legal information pages, and redirection to external contact channels.

At the current stage, the Overseas Client primarily provides the following services:

•        public display of vehicle listing information;

•        browsing and search;

•        viewing of vehicle details;

•        redirection to external contact channels (such as WhatsApp, telephone, and email).

At the current stage, the Overseas Client does not provide the following services:

•        on-platform customer accounts;

•        on-platform inquiry forms;

•        favorites/bookmarking;

•        on-platform messaging;

•        orders;

•        payments.

2. Description of Services

The platform provides users with public information display services relating to vehicles, markets, price references, and contact channels.

The information displayed on the platform is primarily intended for the following purposes:

•        browsing;

•        reference;

•        preliminary understanding of vehicle and market conditions;

•        presentation of subsequent external contact channels.

The platform reserves the right, based on business, compliance, operational, technical, or market needs, to update, adjust, hide, or take offline any page content, vehicle listing information, display order, or display scope.

3. Statement on the Absence of Account Relationship at the Current Stage

At the current stage, the Overseas Client does not require users to register or log in in order to browse vehicle listings. This means that:

•        browsing this platform does not create a complete customer account relationship;

•        clicking on an external contact channel does not create a customer profile within the platform;

•        should account features, inquiry lead capture, on-platform messaging, orders, or payment functions be introduced in the future, this Agreement will be updated accordingly.

4. Statement on Information Accuracy and Availability

The platform will make commercially reasonable efforts to keep vehicle listing information, displayed content, and price reference information up to date. However, the user understands and agrees that:

•        vehicle status may change;

•        price references may change;

•        displayed information may be updated;

•        export conditions may change;

•        market conditions may change.

Accordingly, the content displayed on the platform pages does not, in itself, constitute a final, fixed, or legally binding commitment to conclude a transaction, unless subsequently confirmed through a separate formal contract or agreement process.

5. Permitted Use

Users may use this platform for browsing, reference, and contact purposes for lawful purposes.

Users shall not engage in any of the following conduct:

•        using this platform in any unlawful manner;

•        attempting to obtain unauthorized access;

•        interfering with the security or technical operation of the platform;

•        scraping, copying, or republishing content in any manner that is not permitted;

•        impersonating any other person or entity;

•        using the platform for harassment, fraud, false contacts, or other improper conduct.

6. External Contact and Third-Party Services

The platform may provide contact paths that redirect users to third-party services, including but not limited to:

•        WhatsApp;

•        telephone dialing;

•        email clients.

When the user leaves the platform and uses a third-party service:

•        the third-party service may process the user’s information in accordance with its own rules;

•        the platform is unable to exercise full control over the third-party environment;

•        the user shall understand that third-party services are subject to their own terms of use and privacy rules.

7. Vehicle Information and Display Boundaries

The information that the platform may display includes, without limitation:

•        brand/model;

•        year of manufacture;

•        mileage;

•        market reference information;

•        reference prices or Estimated CIF related content;

•        visibility status or label information.

The foregoing information is primarily intended for browsing and reference purposes, and may be adjusted, updated, or taken offline due to changes in business, market conditions, information review, compliance requirements, or vehicle status.

8. Pricing and Export Statement

The user understands and agrees that:

•        the prices displayed on the pages may be reference prices, display prices, estimated prices, or prices subject to conditions;

•        Estimated CIF does not, in itself, equate to the final landed cost;

•        unless expressly stated otherwise on the page, the prices displayed may not include all taxes and fees in the destination country, customs clearance fees, certification fees, registration fees, local transportation fees, or the impact of exchange rate fluctuations;

•        the fact that a vehicle is publicly displayed on the platform does not, in itself, mean that the vehicle has fully satisfied all export conditions;

•        the final transaction and export arrangements shall be subject to subsequent confirmation, document verification, market rules, and a formal contract.

The platform will provide a separate "Pricing and Export Statement" to describe such matters in a more consolidated manner.

9. Intellectual Property

Unless expressly stated otherwise, the layout, design, text, images, brand identifiers, editorial arrangement, and related display outputs contained in the platform pages are protected by applicable laws.

Without authorization, users shall not copy, republish, distribute, or commercially use the relevant content in any manner that exceeds the scope of reasonable browsing and reference.

10. Disclaimer

To the maximum extent permitted by applicable law:

•        the platform provides public display services on an "as is" and "as available" basis;

•        the platform does not warrant that all vehicle listings will remain continuously visible;

•        the platform does not warrant that the displayed content will at all times be complete and free of errors;

•        the platform does not warrant that the page content itself constitutes a final commercial commitment.

The disclaimers set out in this Agreement do not affect any user rights that cannot be excluded under applicable law.

11. Limitation of Liability

To the extent permitted by applicable law, the platform shall bear corresponding liability for indirect, incidental, or consequential losses arising from the following circumstances:

•        content adjustments;

•        page updates or removal from the platform;

•        market changes;

•        third-party contact tools;

•        service interruptions;

•        policy changes;

•        improper use of the platform by the user.

12. Service Adjustment, Suspension and Termination

The platform may adjust, suspend, or terminate part of the services for reasons including, but not limited to:

•        system maintenance;

•        product upgrades;

•        compliance reviews;

•        technical upgrades;

•        risk control;

•        business adjustments.

13. Governing Law and Dispute Resolution

The conclusion, entry into force, interpretation, performance of, and resolution of disputes arising out of this Agreement shall be governed by the laws of the People’s Republic of China.

In the event of any dispute between the parties arising out of this Agreement, the matter shall be handled in accordance with the dispute resolution mechanism ultimately set forth in the formal legal version of this Agreement.
